Every file is built to acquisition-grade standards from line one — the documentation precedes the code, not the other way around. Buyers receive a fully operational platform, complete technical and operational documentation, source code, and full IP assignment. Files arrive in the register two ways — self-originated from inside the studio, or commissioned by a partner with a category thesis. Either way, the build is the same: full-stack in-house, documented to acquisition standards, closed to launch-ready before the first public customer. Then we transfer — under one of three structures, all legally papered, all clean.
Where the file starts.
A category thesis is authored inside the studio, then built end-to-end as a register file. Full IP authorship from line one. Released to the register when launch-ready. Transferred to a buyer or operating partner under NDA.

A partner brings the thesis, the category and the operating goal. The studio authors and builds the file to the same standard. IP ownership and post-launch structure are agreed up front — clean, contractual, no ambiguity.

Three ways the file leaves the room.
Full asset purchase. The studio assigns 100% of the IP, brand, domain and infrastructure. Single counterparty, single closing. The author steps out at completion — or stays for an agreed transition window.
Operational control transfers; the studio retains a defined equity share under negotiated stewardship terms. Useful when authorship continuity through launch is part of the value to the acquirer.
Long-form structure where the studio stays operationally involved post-transfer — typically across launch, regulatory navigation, or new-market entry. Scope is bounded, term is fixed, equity is held.
What travels at signature.
The acquirer receives a fully operational asset on day one. No reverse-engineering. No discovery phase. No "we'll send the docs later." Everything below ships together, in escrow, on close.
Every transfer papered by external counsel.
We work with an external boutique legal firm across IP, M&A, employment and data — from the first NDA to the final Asset Purchase Agreement. Every contributor operates under full IP-assignment recorded against the file. Originality is declared. No GPL/LGPL components in Tier 1 IP. Acquisition agreements are drafted to 2026 M&A diligence standard — single counterparty, single closing, no loose ends.
